Terms of Use and Conditions

1. Agreement

These Terms of Use and Conditions govern access to Gestmi websites, account panel, agency workspaces, client portals, billing pages, notification services, domains, integrations and related services. By creating an account, starting a trial, saving a payment method, upgrading a plan or using the platform, the customer accepts these Terms, the Privacy Policy and the Cookie Policy.

2. Service scope

Gestmi provides agency management, requests, tasks, projects, contracts, client accounts, collaborators, financial workflows, payment links, invoices, notifications, branded workspaces, custom domains and related operational tools according to the active plan and enabled add-ons. Features may vary by plan, country, payment provider availability, compliance status and technical limitations.

3. Account owner and authorized users

The agency account owner is responsible for the account, invited collaborators, client users, permissions, passwords, uploaded content, submitted payment information and all actions performed by authorized users. The customer must keep registration, billing, legal, representative and contact information accurate and current.

4. Free trials

A free trial is promotional and available only once per eligible account unless Gestmi expressly approves otherwise. Trial access can be limited, modified or cancelled in cases of abuse, fraud, duplicate accounts, payment risk or violation of these Terms. When a paid plan is selected or upgraded, Gestmi may charge immediately instead of waiting for the trial period to end, when disclosed in the flow.

5. Subscriptions, upgrades and add-ons

Plans are billed according to the selected price, billing period, add-ons, excess capacity and usage rules shown in the platform. Upgrades, extra seats, extra storage, extra client accounts, payment features or other paid capacity may be billed immediately or prorated and added to the next invoice. Access to the new resources may depend on successful payment confirmation.

6. Plan limits, overages and user notices

Gestmi may enforce limits for collaborators, client accounts, companies, monthly requests, file storage, communication credits, payment resources, branding, domains, contracts, CRM, automations, analytics and other plan resources. When a limit is reached, the platform may block the action, show an upgrade notice, redirect an administrator to plan options, or add approved extra capacity to the next invoice on a prorated or usage basis. Client users may see a limited notice or payment instruction when the agency's plan, company plan or request limit prevents the action.

7. Downgrades and blocked resources

Downgrades may remove, disable, hide or redirect access to features outside the new plan. Existing settings such as brand assets, custom domains, contracts, payment configuration or integrations may remain saved but stop serving while the plan does not include them. The customer is responsible for exporting or adjusting data before reducing plan capacity.

8. Payment authorization

By saving a payment method, the customer authorizes Gestmi and its payment processors to charge subscriptions, upgrades, add-ons, usage, excess capacity, unpaid invoices, taxes and applicable fees. The customer represents that it is authorized to use the payment method and to bind the agency to these charges.

9. Failed payments, suspension and cancellation

If payment fails, Gestmi may retry charges, send notices, limit paid features, block payment-related resources, suspend access, downgrade the account or cancel the subscription. The customer remains responsible for amounts accrued before cancellation, suspension or downgrade.

10. Taxes and invoices

Prices may exclude taxes unless stated otherwise. The customer is responsible for taxes, withholding, fiscal information and invoice accuracy required in its jurisdiction. Gestmi may retain invoice, tax, payment and audit data as required by law.

11. Customer content and data

The customer retains responsibility for content, files, contracts, client data, messages, invoices and any material submitted to Gestmi. The customer must have the necessary rights, consents and lawful basis to upload, process, send or publish such content and must not submit unlawful, infringing, abusive or sensitive data without proper authorization.

12. Acceptable use

Gestmi may not be used for spam, fraud, phishing, malware, unlawful surveillance, intellectual property infringement, illegal financial activity, abusive automation, harassment, unauthorized data scraping, security attacks, evasion of plan limits, or activity that harms Gestmi, providers, customers or third parties.

13. Communications

Gestmi may send transactional messages by email, SMS, WhatsApp, push notification or in-app notice for account verification, billing, security, subscription status, payment status, workspace activity, service notices and support. Optional marketing communications depend on consent or applicable legal basis and can be managed where available.

14. Integrations and third-party services

Some features depend on third-party providers such as hosting, payment, messaging, storage, analytics, social networks or domain services. Gestmi is not responsible for third-party downtime, approval decisions, fees, API changes, account restrictions or provider requirements outside Gestmi's control.

15. Security and availability

Gestmi works to keep the platform secure and available, but does not guarantee uninterrupted or error-free operation. Maintenance, provider failures, security events, legal requirements or force majeure may affect access. Customers must maintain their own operational backups where business continuity requires it.

16. Account deletion

Account deletion is permanent for active access and eligible personal data. Certain billing, tax, fraud-prevention, security, legal and audit records may be retained. Deletion may also affect workspaces, domains, files, client portals and pending operations.

17. Intellectual property

Gestmi, its software, design, workflows, trademarks and platform materials remain Gestmi property or licensed to Gestmi. Customers may not copy, reverse engineer, resell, sublicense or exploit the platform except as permitted by the subscribed service.

18. Limitation of liability

To the maximum extent permitted by law, Gestmi is not liable for indirect, incidental, special, consequential, punitive damages, lost profits, lost revenue, lost data, business interruption or third-party claims arising from use of the service. Gestmi's aggregate liability is limited to amounts paid to Gestmi for the service during the period allowed by applicable law.

19. Changes

Gestmi may update these Terms to reflect product, legal, commercial or security changes. Material changes may be notified through the platform or email. Continued use after an update means acceptance of the updated Terms.
